Terms and Conditions of Submitting an Idea to JohnsonDiversey, Inc.
|
Prior to signing this agreement or submitting any information, JohnsonDiversey, Inc. (“JDI”) strongly recommends that the person submitting this idea (“Submitter”) contact an attorney for advice.
Submitter assures JDI that Submitter originated this idea
and that Submitter has the legal right to negotiate with JDI concerning
it.Furthermore, Submitter assures JDI
that Submitter’s current and previous employers do not have a legal right to
this idea and that anyone who may have a legal interest in this idea has joined
this submission.
By considering Submitter’s
idea, JDI is not admitting that it is new and is not obligated to tell
Submitter anything previously known or discovered since the submission of the
idea.Further, Submitter is not giving
JDI any rights under a current or future patent through this agreement.
However, for submissions covered by patents
or pending patent applications, Submitter agrees to rely wholly on any rights
provided under the national patent laws where issued or filed for
protection.For submissions that have
not been covered by a patent or patent application, Submitter understands that
by submitting this idea, Submitter might be jeopardizing Submitter’s ability to
obtain a patent for this idea if a patent is not already filed pertaining to
this idea.Further, in such
circumstances, it is entirely within JDI’s discretion whether to compensate
Submitter for such non-protected ideas. Furthermore, JDI will not assume any
obligation to act in a consulting capacity with regard to the patentability of
Submitter’s idea, the desirability of seeking a patent, the commercial
possibilities of Submitter’s idea, or Submitter’s rights against others.
Submitter acknowledges that the general description
provided does not include proprietary or confidential information and that JDI
is not under any obligation to maintain this idea in confidence.
Furthermore, Submitter understands that a
confidential relationship does not exist and cannot be created by merely
disclosing this idea to an officer, employee, or agent of JDI.
After JDI reviews Submitter’s idea, JDI will not return
any documentation to Submitter; it will be kept as a record of what was
provided to JDI.
The above conditions cannot be modified or waived.There are no other understandings or agreements between JDI and Submitter
